The website https://cloudstate.co/ and its associated features ("Site") are owned and operated by CloudState Co ("CloudState", "we", "our", "us").
These Terms and Conditions ("Terms"), which incorporate our Privacy Policy and other documents referred to within these Terms, govern the supply of any products ordered by you on the Site and your use of the Site. By browsing, accessing, using the Site, or placing an order ("Order"), you agree to be legally bound by these Terms.
CloudState may modify these Terms at any time. Any revised Terms will be made available on our Site. By continuing to use the Site after such changes, you agree to be bound by the revised Terms.
1. Access and Use of the Site
1.1 You agree to use the Site in compliance with these Terms and all applicable laws.
1.2 You must not, or attempt to:
- Interfere with or disrupt the Site, servers, or networks hosting the Site;
- Use automated data collection tools such as data mining, robots, or screen scraping;
- Circumvent security or other protective features of the Site.
1.3 Certain features, such as wishlists, require creating an Account. You must provide accurate, up-to-date personal information, including full name, address, and a valid email. Only one Account per person is allowed, and Accounts cannot be created by individuals under 13 years old.
1.4 To place Orders, you must be at least 18 years old and legally capable of entering binding agreements. Minors may only order with parental or guardian consent.
1.5 You are responsible for all activity on your Account, including unauthorized access. Keep your password secure. Fraudulent activity may be reported to authorities.
1.6 Do not use another person's Account without explicit permission. Report suspected unauthorized use immediately.
1.7 The Site may experience downtime; we do not guarantee continuous, uninterrupted access. Linked external sites are not warranted.
1.8 Do not link to the Site in a way that misrepresents affiliation with CloudState or is illegal, unfair, or damaging to our reputation.
2. Intellectual Property and Site Information
2.1 The Site and its content are protected by copyright, trademarks, and other intellectual property rights owned or licensed to CloudState.
2.2 You may not reproduce, adapt, distribute, sell, or use Site content without prior written consent unless allowed by law.
2.3 Product information is supplied by manufacturers or third parties; we are not liable for inaccuracies unless required by Philippine law (Republic Act No. 7394).
2.4 Product images may differ slightly from actual items due to photography, screen settings, or promotional purposes.
3. Orders and Contract Formation
3.1 Follow Site instructions when placing an Order, including any modifications before submission.
3.2 The displayed price and delivery fees (in PHP unless stated) are what you must pay.
3.3 Full payment is required at the time of Order using accepted payment methods. Ensure sufficient funds and authorization for the payment method.
3.4 By ordering, you authorize CloudState to perform necessary security checks and obtain or transmit information to validate transactions and prevent fraud.
3.5 If you notice an error after ordering, contact us immediately; amendments are not guaranteed and fees may apply.
3.6 An Order confirmation email acknowledges receipt but does not form a contract. A binding Contract is formed upon shipment confirmation. We may refuse Orders for reasons including stock unavailability, suspected reselling, fraud, pricing or description errors.
3.7 Orders may be canceled before acceptance, with full refund to the original payment method. Terms at the time of Order apply to accepted Orders.
4.Shipping & Delivery
4.1 We aim to deliver to your specified address within the estimated time, but exact delivery dates cannot be guaranteed.
4.2 Delays are not our liability unless required by law.
4.3 You must be available to receive your Order; delivery partners may offer options such as authority to leave.
4.4 By default, items may be left at the delivery address. If unsafe, the Order may be redelivered or returned to our Fulfillment Center. Refusal or delayed acceptance may result in cancellation and refund minus reasonable administration costs.
4.5 Risk passes to you upon delivery or the estimated delivery date if delayed.
4.6 Handle packages carefully to avoid damage.
4.7 Record an unboxing video for claims purposes.
5. Cancellation
5.1 Contracts may be terminated if products are unavailable; refunds are issued to the original payment method.
5.2 You may request cancellation before shipment; shipped Orders must follow the returns policy.
6. Faulty Products
6.1 Contact us promptly for defective products. Images may be required for assessment.
6.2 Confirmed defects will result in replacement or refund. Major defects allow you to choose between replacement or refund.
6.3 Normal wear, misuse, or failure to follow care instructions does not constitute a defect.
7. Change of Mind Returns
7.1 Returns are accepted within 14 days if items are unworn, unused, and with original tags.
7.2 Follow the ‘How to Return an Item’ instructions.
7.3 Eligible returns are refunded to the original payment method or exchanged.
7.4 Delivery costs for returns are your responsibility unless otherwise stated.
7.5 Excessive returns may result in Account suspension to prevent abuse.
7.6 Returns do not affect statutory rights under Philippine law.
7.7 Incorrect items returned by mistake are not our responsibility; we may return them at your cost.
8. Gift Cards
8.1 Gift Cards are electronic; treat them like cash. CloudState is not liable for loss or misuse.
8.2 Gift Cards are valid for 12 months; balances are non-refundable and cannot accrue interest. Cannot purchase other gift cards.
8.3 Refunds for gift card purchases follow original payment proportions; new gift cards may be issued for refunded values.
9. User-Generated Content
9.1 Campaigns may invite customers to share Content with hashtags.
9.2 By participating, you confirm:
- Ownership or consent of Content;
- CloudState may feature and modify Content;
- You are responsible for Content.
9.3 You may revoke permission; we will remove Content as practicable.
9.4 Customers must follow community guidelines; violations may result in Account blocking.
10. Disclaimer and Liability
10.1 To the extent permitted by law, CloudState’s liability is limited for performance, non-performance, or delay in relation to these Terms or the Site.
10.2 Nothing limits statutory consumer rights, fraud, or liability for death or personal injury.
10.3 We exercise reasonable care and skill in performing obligations.
10.4 You are responsible for ensuring products meet your needs; we do not guarantee suitability for specific purposes.
11. Indemnity
You indemnify CloudState, affiliates, and representatives against all claims, damages, and costs arising from your breach of these Terms or applicable law.
12. Privacy and Communications
Refer to our Privacy Policy. You may receive electronic communications regarding Orders, returns, or updates.
13. Dispute Resolution
Disputes should be raised with Customer Service; parties agree to negotiate in good faith.
14. General
14.1 Entire Agreement: These Terms supersede prior agreements.
14.2 Assignment: You may not assign rights or obligations; we may delegate or assign ours.
14.3 Force Majeure: We are not liable for events beyond our control (pandemic, natural disasters, strikes, system failures, legal compliance, etc.).
14.4 No Waiver: Our failure to enforce any right does not waive future rights.
14.5 Notices: Must be in writing via email or registered address.
14.6 Third-Party Rights: Terms benefit CloudState and its content providers.
14.7 Survival: Certain clauses survive termination.
14.8 Severability: Invalid provisions do not affect remaining Terms.
14.9 Governing Law: Philippine law governs; exclusive jurisdiction of Philippine courts applies.
15. Definitions and Interpretation
- Consumer Act: Republic Act No. 7394 (Philippines).
- Breach of Duty: Any breach of express or implied contract duties or common law duties.
- Liability: Includes all claims, damages, or obligations arising under these Terms.
- CloudState: CloudState Co, including employees, representatives, and contractors.

- Singular includes plural; gender inclusive.
- References to persons include individuals and entities.
- 'Includes' means without limitation.
